We represent both landlords and tenants in sophisticated commercial leasing transactions, including office, retail, industrial, and ground leases. Our work includes drafting, reviewing, and negotiating lease agreements and related documents, with a focus on key business and legal terms such as rent structures, operating expenses, tenant improvements, renewal and expansion rights, assignment and subletting provisions, default remedies, and risk allocation.
Financing
We represent borrowers and lenders in a broad range of real estate financing transactions, including acquisition, construction, permanent, and mezzanine loans. Our experience spans diverse asset classes such as office buildings, multifamily and apartment projects, hotels, land development, shopping centers, and mixed-use developments.
Our work includes structuring, negotiating, and documenting loan agreements and related security instruments, with careful attention to covenants, guarantees, collateral packages, intercreditor arrangements, and closing requirements. We focus on aligning financing terms with the client’s business objectives while managing risk and facilitating efficient closings.
Joint Ventures and Corporate Organization
We represent investors, developers, and sponsors in structuring and negotiating joint ventures for the acquisition, development, financing, and operation of real estate projects. Our work includes drafting and negotiating joint venture agreements, operating agreements, partnership agreements, shareholder agreements, and related governance documents that define capital contributions, ownership structures, distribution waterfalls, management rights, and exit strategies.
We advise on governance frameworks that allocate control, decision-making authority, fiduciary duties, transfer restrictions, and dispute resolution mechanisms. Our focus is on aligning economic arrangements and management structures with the parties’ business objectives while clearly addressing risk allocation and long-term operational considerations.
TOPA
We advise clients on compliance with tenant rights regulations in the District of Columbia, including the Tenant Opportunity to Purchase Act (TOPA). Our work includes counseling property owners and developers on statutory notice requirements, timelines, tenant association rights, contract negotiations, and assignment of purchase rights.
We assist in structuring transactions to align with TOPA and related housing regulations, coordinating required disclosures and filings, and managing negotiations with tenant associations and third-party assignees. Our focus is on navigating the regulatory framework efficiently while minimizing transactional risk and delay.
Development
We represent developers and investors in ground-up real estate development projects across a range of asset classes, including commercial, residential, and mixed-use properties. Our work includes negotiating and coordinating easement agreements, construction contracts, design professional agreements, development agreements, financing documents, and other key project documents necessary to support successful project execution and delivery.
Construction
Successful construction projects start with strong contracts. Every project involves unique legal, financial, and operational risks, and our approach is practical and business-minded—working closely with clients to structure agreements that support efficient project delivery while minimizing exposure to delays, cost overruns, and disputes.
We prepare and negotiate a full range of construction-related contracts, including owner–contractor agreements (AIA or otherwise), architect and engineer engagements, and consultant contracts. Property Tax
Our real property tax assessment appeals practice provides comprehensive analysis, review, and representation in real estate tax matters for commercial, office, hotel, multifamily, land, shopping center, and large estate properties in the District of Columbia, Maryland, and Virginia. We handle assessment disputes at all levels of appeal and regularly assist clients in pursuing significant tax savings and refunds.
Our services include appealing assessments and penalties, correcting erroneous valuations, and advising on income and expense report filings. We also assist with exemption applications, use code changes, and appeals involving vacant or blighted property assessments, with a focus on achieving accurate valuations and minimizing unnecessary tax exposure.
